On August 18, 2025, Digi International Inc., a leading global provider of business and mission-critical Internet of Things (IoT) products, services, and solutions, announced its acquisition of Jolt Software, Inc., a leading solutions provider to the convenience store and food and beverage industries. Wilson Sonsini Goodrich & Rosati advised Jolt Software on the transaction.

The acquisition marks a significant milestone for Digi’s SmartSense® business in advancing operational intelligence and compliance automation across foodservice, grocery, convenience, healthcare, and other verticals. It supports Digi’s strategy to expand annual recurring revenues (ARR) through high-value, scalable subscription offerings. The combined company will be known as Scale Computing and will serve as the largest edge computing-focused software company in the industry, with the ability to serve customers worldwide. Wilson Sonsini Advises Alianza on Acquisition of Metaswitch
On March 4, 2025, Alianza, Inc., the world’s first cloud-orchestrated, AI-powered communications platform dedicated to service providers, announced the completion of its acquisition of Metaswitch from Microsoft, executing on the Definitive Agreement announced in December 2024. Financing of the transaction was provided by existing Alianza investors and a syndicate of commercial banks led by Wells Fargo. Wilson Sonsini Goodrich & Rosati advised Alianza on the transaction.

The combined offerings of Metaswitch and Alianza will enable service providers to close a massive gap in their ability to grow services revenue and improve operational efficiency by modernizing core networks, unlocking new innovative offerings, and ultimately transforming network operations. With the close of this transaction, Alianza will serve a combined customer base of more than 1,000 communication service providers, including 19 of the top 20 global operators. On December 17, 2024, Grammarly, the trusted AI assistant, announced its intent to acquire productivity platform Coda, with Coda's CEO and co-founder Shishir Mehrotra set to become the new CEO of Grammarly. The addition of Coda’s flexible and powerful AI tools and surfaces aims to transform Grammarly into an AI productivity platform for apps and agents where customers can unlock access to company knowledge, generative AI chat, a productivity suite, and capable, trusted AI agents to work smarter and faster. “The acquisition of Coda is a big step toward achieving our vision of a world where humans and AI work together everywhere work happens,” said Grammarly co-founder Alex Shevchenko.

Wilson Sonsini Advises PacBio on $459 Million Convertible Note Exchange
On November 7, 2024, Pacific Biosciences of California, Inc. (PacBio), a leading developer of high-quality, highly accurate sequencing solutions, announced that it entered into a privately negotiated exchange agreement with a holder of PacBio’s remaining outstanding 1.50 percent convertible senior notes due 2028, pursuant to which PacBio will (i) issue $200 million principal amount of its 1.50 percent Convertible Senior Notes due 2029, (ii) issue 20,451,570 shares of PacBio’s common stock, and (iii) make a cash payment in the amount of $50 million in exchange for $459 million principal amount of the 2028 Notes. The exchange transaction is expected to close on or about November 21, 2024, subject to customary closing conditions.

Wilson Sonsini Advises DoorDash on $800 Million Credit Facility
On May 1, 2024, DoorDash announced that the company entered into an amendment agreement pursuant to which its existing revolving credit and guaranty agreement was amended and restated in its entirety to provide for an increase in the existing unsecured revolving loan facility from $400 million to an aggregate principal amount of up to $800 million, with an increase to the letter of credit sublimit from $200 million to $600 million. The amendment agreement also extended the maturity date for the revolving credit facility from August 7, 2025, to April 26, 2029. The proceeds of revolving loans made under the restated credit agreement may be used for working capital and general corporate purposes.
