Wilson Sonsini Advises Udemy on Combination with Coursera
On December 17, 2025, Udemy, Inc., an AI-powered skills acceleration platform that combines on-demand, multi-language content with real-time innovation, and Coursera, Inc., an AI-powered online learning platform, announced that they have entered into a definitive merger agreement under which Coursera will combine with Udemy in an all-stock transaction. Based on the closing prices of Coursera and Udemy common stock on December 16, 2025, the implied equity value of the combined company is approximately $2.5 billion. The transaction is expected to close by the second half of 2026, subject to the receipt of required regulatory approvals, approval by Coursera and Udemy shareholders, and the satisfaction of other customary closing conditions.

Firm Advises Dropbox on $700 Million Upsize to its Existing Secured Credit Facility
On September 9, 2025, Dropbox, Inc. announced an amendment to its existing Credit and Guaranty Agreement, providing the company with a secured term loan facility in an aggregate principal amount of up to $2.7 billion, consisting of $1 billion of existing term loans, $1 billion of existing delayed draw term loans, and $700 million of 2025 delayed draw term loans. The amended facility was led and substantially provided by Blackstone Credit & Insurance. Proceeds of the additional delayed draw term loans may only be used to repay Dropbox’s outstanding convertible senior notes due in 2026. On June 24, 2025, New Zealand-based Xero Limited, a global small business platform that helps customers supercharge their business by bringing together the most important small business tools, announced it has entered into an agreement to acquire U.S.-based Melio Limited, a leading SMB bill pay platform that seamlessly integrates accounting and payments, and its associated entities (collectively Melio). The acquisition is expected to be funded through a mix of cash and equity, with an upfront consideration of $2.5 billion in cash and equity consideration and up to $500 million in contingent consideration, deferrals and rollovers payable to Melio employees. Wilson Sonsini Goodrich & Rosati is serving as lead counsel to Xero on the acquisition.

On January 13, 2025, Aerin Medical, a medical device company focused on expanding access to meaningful relief for millions of patients suffering from chronic ENT conditions, announced the successful completion of two significant financial transactions. These transactions position Aerin Medical to drive additional commercial growth, advance market-leading innovation, and further expand its robust clinical evidence portfolio. The $32.5 million equity financing was led by all of Aerin's major investors: KCK MedTech, Questa Capital, OrbiMed, and Ally Bridge Group, with new participation by Ares Management Credit funds, which also provided Aerin a debt facility to refinance its existing debt and access additional capital.

Wilson Sonsini Advises Dropbox on $2 Billion Secured Credit Facility
On December 11, 2024, Dropbox announced that it entered into a Credit and Guaranty Agreement for a secured term loan facility in an aggregate principal amount of up to $2 billion, consisting of initial term loans in an aggregate principal amount of up to $1.0 billion and delayed draw term loans in an aggregate principal amount of up to $1.0 billion. The facility was led and substantially provided by Blackstone Credit & Insurance, who served as lead arranger and lead structuring agent.  The proceeds of the term loans may be used for working capital and general corporate purposes, including share repurchases.

Wilson Sonsini Advises TravelPerk on Acquisition of AmTrav
On June 18, 2024,  TravelPerk, the hyper-growth global business travel management platform, announced its acquisition of the industry-leading United States company AmTrav, doubling down on its expansion in the U.S. Wilson Sonsini Goodrich and Rosati advised TravelPerk on the transaction.

Both platforms will capitalize on proprietary tech, AI capabilities, and expanded resources to further expand in the U.S. The acquisition will see TravelPerk double its revenue in the U.S., following 65 percent year-over-year growth in the market in 2023. TravelPerk’s U.S.-based headcount and footprint expands to now include offices in Boston, Chicago, Los Angeles, and Miami. AmTrav will operate under the same brand, and the entire team will continue with the business going forward.
