Firm Advises Neurona Therapeutics on Acquisition by UCB
On April 17, 2026, UCB, a global biopharmaceutical company, announced that it has entered into a definitive agreement under which UCB would acquire Neurona Therapeutics, including lead asset NRTX-1001, adding to UCB’s epilepsy portfolio. Neurona Therapeutics is a clinical-stage biotherapeutics company focused on advancing regenerative cell therapies for epilepsies and other disorders of the nervous system. Under the terms of the agreement, UCB will pay $650 million upfront and up to $500 million in potential future milestone payments, subject to certain closing conditions. Wilson Sonsini Advises SpyGlass Pharma on $150 Million IPO
On February 5, 2026, SpyGlass Pharma, Inc., a late-stage biopharmaceutical company, announced the pricing of its initial public offering of 9,375,000 shares of its common stock at a public offering price of $16.00 per share. The aggregate gross proceeds from the offering, before deducting underwriting discounts and commissions and other offering expenses payable by SpyGlass Pharma, are expected to be approximately $150 million. Wilson Sonsini Goodrich & Rosati advised SpyGlass Pharma on the transaction.

SpyGlass Pharma has granted the underwriters a 30-day option to purchase up to an additional 1,406,250 shares of common stock at the initial public offering price, less underwriting discounts and commissions. All shares of common stock are being offered by SpyGlass Pharma. SpyGlass Pharma’s common stock is expected to begin trading on the Nasdaq Global Select Market on February 6, 2026, under the ticker symbol “SGP.” The offering is expected to close on February 9, 2026, subject to the satisfaction of customary closing conditions.

On October 17, 2023, Gilead Sciences and Assembly Biosciences, a biotechnology company developing innovative antiviral therapeutics targeting serious viral diseases, announced that they have entered into a 12-year partnership to advance the research and development of novel antiviral therapies, with an initial focus on Assembly Bio’s established areas of herpesviruses, hepatitis B virus (HBV), and hepatitis D virus (HDV). Assembly Bio’s current portfolio of small molecule antiviral therapeutics includes both clinical and preclinical programs, including next-generation core inhibitor ABI-4334 for the treatment of HBV, long-acting helicase-primase inhibitor ABI-5366 for herpes simplex virus (HSV), an orally bioavailable HDV entry inhibitor ABI-6250, and a pan-herpes polymerase inhibitor program.

On June 30, 2022, Novartis announced that it acquired Kedalion Therapeutics and its AcuStream technology, an innovative device that may have the potential to facilitate precise dosing and accurate delivery of certain topical ophthalmic medications to the eye. Wilson Sonsini Goodrich & Rosati advised Kedalion on the transaction.

Kedalion is a clinical-stage, venture-funded ophthalmic drug company based in Menlo Park, California. In November 2021, Kedalion Therapeutics announced the completion of its Series B financing led by Novartis, which included an exclusive option to acquire the company and its AcuStream technology.

Wilson Sonsini Advises Kedalion on Series B Funding, Signing of Option to Acquire Agreement
On November 15, 2021, Kedalion Therapeutics announced the completion of its Series B financing led by Novartis and involving a combination of new and existing investors. The Novartis investment includes an exclusive option to acquire the company and its AcuStream technology. The agreement follows a feasibility study agreement with the AcuStream technology signed earlier this year. The subsequent feasibility study has been completed with successful results. Collaboration between the two parties is ongoing. The financial and other terms of this transaction have not been disclosed.

On November 15, 2021, Kala Pharmaceuticals, a commercial-stage biopharmaceutical company focused on the discovery, development, and commercialization of innovative therapies for diseases of the eye, announced that it has acquired Combangio, a private, clinical-stage company developing regenerative biotherapies for severe ocular surface diseases. Combangio is developing CMB-012, a novel investigational secretome therapy, now known as KPI-012, to address the complex wound healing process in persistent corneal epithelial defect (PCED) and other severe ocular diseases driven by impaired corneal healing.
