Wilson Sonsini Advises Lead Investor Temasek on UPSIDE Foods' $400 Million Series C
On April 21, 2022, UPSIDE Foods (formerly Memphis Meats), a leading company in the cultivated meat, poultry, and seafood industry, announced the close of a $400 million Series C funding round that brings the company's valuation to over $1 billion. The Series C round was co-led by Temasek, a global investment company headquartered in Singapore, and the Abu Dhabi Growth Fund, a new investor. Other new investors include Baillie Gifford, Givaudan, John Doerr, SALT fund, and Synthesis Capital. They are joined by existing investors Bill Gates, Cargill,  Cercano Management, CPT Capital, Dentsu Ventures, Singapore-based global investor EDBI, Kimbal and Christiana Musk, Norwest Venture Partners, SoftBank Vision Fund 2, SOSV's Indie Bio, and Tyson Foods. Firm Advises Temasek on Helix’s $50 Million Series C Funding
On June 3, 2021, Helix, the leading population genomics and COVID-19 testing company, announced that it has closed a $50 million Series C funding round led by existing investors Warburg Pincus, DFJ Growth, Kleiner Perkins Caufield Byers, Mayo Clinic, and Temasek. Wilson Sonsini Goodrich & Rosati advised Temasek on the transaction.

The proceeds from the financing will be used to accelerate Helix’s population genomics platform across health systems, life sciences companies, and payers, as well as power its growing COVID-19 testing and viral surveillance efforts. Helix's end-to-end genomics platform enables organizations to advance genomic research and accelerate the integration of genomic data into clinical care through its unique “Sequence Once, Query Often™” model. With this model, an individual's DNA can be collected, sequenced, and securely stored once, while allowing continuous access to the genomic data and insights as needed, without collecting additional saliva samples.

Wilson Sonsini Advises Lifelink Systems on $9.75 Million Series A Funding
On March 30, 2021, Oakland, California-based Lifelink Systems announced that it has completed its Series A funding round, raising $9.75 million to accelerate the growth of its conversational AI technology for healthcare enterprises. The financing was led by DigiTx Partners and included Primera Capital, Baleon Capital, and inside investors. Wilson Sonsini Goodrich & Rosati advised Lifelink Systems on the transaction.

Lifelink Systems runs a conversational AI technology platform used by large healthcare provider systems and life sciences companies to improve the way they interact with patients. As part of advanced virtual care initiatives, patients use mobile chatbots from Lifelink Systems to schedule appointments, digitize paperwork, stay informed, and follow care plans. In January, the company announced that its platform was automating 850,000 conversations per month, putting it on track to surpass 10 million automated patient interactions per year.

Wilson Sonsini Represents WuXi AppTec in Acquisition of OXGENE
On March 2, 2021, WuXi AppTec, a leading global provider of R&D- and manufacturing-enabling services in the pharmaceutical, biotechnology, and medical device industries, announced that it has completed its acquisition of OXGENE, a pioneering United Kingdom-based contract research and development organization that designs and develops scalable gene therapy technologies. The acquisition enables WuXi AppTec to offer its customers end-to-end support in the creation and development of cutting-edge cell and gene therapies for patients in need worldwide. Wilson Sonsini Goodrich & Rosati represented WuXi AppTec in the transaction, in collaboration with Taylor Wessing, which served as UK counsel.  

OXGENE will become a fully owned subsidiary of WuXi Advanced Therapies (WuXi ATU), WuXi AppTec’s cell and gene therapy contract testing, development, and manufacturing organization business unit. WuXi ATU's integrated platforms transform the development, testing, manufacturing, and commercialization of cell and gene therapy products and accelerate their time to market. OXGENE, which will retain its name, will be WuXi ATU's first facility in Europe and will further enhance these industry-leading capabilities.

Firm Advises Temasek on Pairwise’s $90 Million Series B Financing
On February 3, 2021, leading mission-driven food tech company Pairwise announced the close of a $90 million Series B financing. The funding for the round was led by Pontifax Global Food and Agriculture Technology Fund and Deerfield Management Company, with participation from new investor Temasek and existing investor Leaps by Bayer. Wilson Sonsini Goodrich & Rosati advised Temasek in the transaction.

Through its unique use of cutting-edge CRISPR technology, Pairwise aims to build a healthier world by introducing better fruits and vegetables with improved taste, enhanced convenience, increased shelf life, improved yield, simplified harvesting, or lengthened season availability. The company—which has built a crop trait development platform based on gene editing technology licensed from leading research organizations—believes the use of technology offers a transformative opportunity to open a new horizon for the $66 billion U.S. retail produce market, and is currently developing new types of leafy greens, berries, and cherries. Its first product is expected in 2022.
