In 2003, the U.N. Assembly designated December 9 as International Anti-Corruption Day to raise awareness about corruption. Wilson Sonsini is pleased to support the Virginia Society of CPAs in hosting its second annual virtual Anti-Corruption Day of Learning. The conference includes five separate hour long sessions on an array of relevant anti-corruption topics, including enforcement updates, the use of data analytics in anti-corruption compliance, and lessons learned from recent cases. The speakers include an array of leading practitioners, in-house counsel, and representatives from the SEC and DOJ.

• Recent DOJ Policies: Merger and Acquisition Safe Harbor and Compensation

  On October 4, 2023, Deputy Attorney General Lisa Monaco announced the DOJ's new Mergers & Acquisitions Safe Harbor Policy for acquirers that uncover wrongdoing at the acquisition target. The policy is part of the DOJ’s expansion of its corporate enforcement tools and ongoing efforts to combat corporate crime. During this session, we will address key takeaways and discuss the challenges associated with this new policy. We will also discuss the DOJ’s new policies on implementing compensation structures that promote compliance and the use of compensation clawbacks.
