Join Brandon Gantus and Christopher Porcelli for a comprehensive discussion on pre-IPO equity compensation considerations, focusing on practical tips and strategies for companies to consider as they prepare for an IPO. This webinar will explore the shift from stock options to RSUs, 409A valuation timing, implications for expiring options and underwater options, and best practices for structuring equity plans that align with company growth and employee retention goals through and following an IPO. We will provide actionable insights for navigating the complexities of pre-IPO equity compensation.

Through interactive discussions, we will:

  • Identify the key differences between stock options and RSUs and the timing and structural considerations for transitioning to RSUs during pre-IPO stages.
  • Explore considerations around the timing and frequency of 409A valuations pre-IPO.
  • Identify strategies to manage expiring stock options and underwater options.
  • Highlight key considerations for an IPO equity compensation plan.

This program is eligible for up to 1 hour of CLE credit in 50-minute states and 1 hour of CLE credit in 60-minute states. Credit hours are estimated and are subject to each state’s approval and credit rounding rules. This course is appropriate for experienced attorneys only. The L Suite has been certified by the New York State Continuing Legal Education Board and the State Bar of California as an Accredited Provider of continuing legal education. Additionally, we will seek CLE accreditation in IL, WA, FL, TX, PA, CO, GA, and any of the other 50 states by selecting your jurisdiction in the affidavit form received from the ABA. Canadian participants may use their certificates to submit for credit directly to the Law Society of British Columbia, the Law Society of Ontario, and the Maison du Barreau du Quebec.
