From August 11–14, 2025, Wilson Sonsini partner Stephen Heifetz will participate in the Helsinki Geoeconomics Week, hosted by the Helsinki Geoeconomics Society. CIC’s The UK CFIUS Regime – What You Need to Know
The UK government recently enacted the National Security and Investments Act, which is intended to give the government wide ranging powers to investigate deals on the grounds of national security. It will also bring into play a mandatory notification regime for transactions within 17 specified key sectors, which includes several tech verticals as well as synthetic biology within life sciences. The US has also had a similar regime, which is aimed at scrutinizing acquisitions of US businesses by non-US acquirors, and there are several parallels within the two regimes and learnings that the UK can take from practice that has evolved within the US. The new regime will represent a paradigm shift in how deals are done when it comes into force. U.S. and UK Venture Investment and National Security: A Joint Discussion with CFIUS and BEIS
Over the last couple years, regulators in the United States have made major changes to the rules surrounding foreign direct investment (FDI) and national security–i.e., the CFIUS regime. Now, regulators in the UK are preparing to do the same, working on passage of the National Security and Investment (NSI) bill, which would grant the Department for Business Energy and Industry Strategy (BEIS) powers that may even go beyond those currently held by CFIUS. In this webinar, we’ll bring together government speakers from both BEIS and CFIUS and expert private sector advisers to discuss how CFIUS is impacting FDI today; how BEIS may affect it soon; and what private sector companies and investors should take away from the recent and forthcoming reforms.
