Wilson Sonsini Litigation Partner Brad Sorrels and Corporate Partner Amy Simmerman will speak at PLI’s upcoming program titled “Delaware Law Developments 2025: What All Business Lawyers Need to Know.” The program will focus on significant developments in Delaware corporate law over the past year, examining the latest case law and practical trends while offering insights and advice on the most pressing issues facing the corporate and securities legal community.
Brad will serve on a panel at 1:30 PM ET titled “Litigation of Delaware Statutory Claims.” Topics include: recent decisions involving interpretation and validity of corporate bylaws and contracts; application of equitable defenses to statutory claims; officer liability and exculpation; and scope and limits of the doctrine of independent legal significance.
Amy will serve on a panel at 3 PM ET titled “Transaction Planning and M&A Disputes.” Topics include: practice following amendments to the DGCL and alternative entity statutes; third-party beneficiary provisions since Crispo v. Musk; earn-outs and post-closing adjustments; and developments in stockholder activism.
