Morgan Asset Management’s Private Capital division, with participation from existing investors Frazier Life Sciences, Avalon Ventures, Lightspeed Venture Partners, and Samsara BioCapital. The financing also includes new investors Amgen Ventures, Regeneron Ventures, Bregua Corporation, Pappas Capital, and Alexandria Venture Investments. Wilson Sonsini Goodrich & Rosati advised Enlaza on IP matters related to the Series A and represents the company in patent strategy and prosecution matters.

Firm Advises Belite Bio on IP Matters Related to $36 Million IPO
On April 28, 2022, Belite Bio, Inc., a clinical-stage biopharmaceutical drug development company, announced the pricing of its initial public offering of six million American Depositary Shares (ADSs) at a public offering price per ADS of $6.00. Each ADS represents one ordinary share of Belite. In addition, Belite has granted the underwriters a 30-day option to purchase an additional 900,000 ADSs at the initial public offering price, less underwriting discounts and commissions. Lin Bioscience International Ltd., the company’s principal shareholder, agreed to purchase $15.0 million of ADSs in the offering. Wilson Sonsini Goodrich & Rosati advised Belite Bio on intellectual property matters related to the transaction.

In connection with the offering, Belite’s ADSs have been approved for listing on the Nasdaq Capital Market. The ADSs began trading on April 29, 2022, under the ticker symbol “BLTE.” The offering closed on May 3, 2022. The gross proceeds to Belite from the offering, before deducting the underwriting discounts and commissions and offering expenses, are expected to be $36 million. Belite expects to use the net proceeds to fund the Phase 3 clinical trial of its lead candidate, LBS-008, for Stargardt disease (an inherited juvenile form of macular degeneration) and for further clinical development of LBS-008 for dry age-related macular degeneration (AMD), working capital, and other general corporate purposes.

Founded in 2016, San Diego, California-based Belite Bio targets untreatable age-related metabolic diseases, including macular degeneration, liver disease, and diabetes. Wilson Sonsini has handled all IP matters for Belite since the company’s inception.

On July 27, 2020, MBX Biosciences, a drug discovery company focused in rare endocrine diseases, announced the closing of a $34.6 million Series A financing. The financing was led by Frazier Healthcare Partners, with participation from OrbiMed, New Enterprise Associates, Indiana Philanthropic Venture Fund (IU PhV), Indiana Seed Fund III (managed by BioCrossroads), and Twilight Venture Partners II. Proceeds of the financing will support MBX as it advances its preclinical pipeline of peptide therapeutic candidates directed at clinically validated molecular targets. The company is built upon the medicinal expertise and chemical technologies invented at the Indiana University laboratory of Professor Richard DiMarchi, Ph.D., co-founder and chief scientific officer of MBX. The company seeks to address rare endocrine disorders with substantial unmet medical need.

Wilson Sonsini Advises Synthorx on Patent Matters Related to $2.5 Billion Acquisition by Sanofi
On December 9, 2019, Sanofi and Synthorx announced that the companies have entered into an agreement under which Sanofi will acquire Synthorx, a clinical-stage biotechnology company focused on prolonging and improving the lives of people suffering from cancer and autoimmune disorders, for $68 per share in cash, which represents an aggregate equity value of approximately $2.5 billion. The transaction was unanimously approved by both the Sanofi and Synthorx boards of directors. Wilson Sonsini has acted as patent counsel for Synthorx from its inception, including patent strategy, counseling, and prosecution. The Wilson Sonsini patent team was responsible for the patent diligence underlying this transaction.
