To help our privately-held clients' stock administrators, in-house counsel, controllers, human resources personnel and any others involved in stock plan administration understand and manage their employee equity programs, we are hosting a seminar that will provide practical tips and materials on sound stock plan administration practices and equity compensation issues. This program will provide an overview of the fundamentals of equity compensation and a more detailed discussion of the legal issues involved in stock administration and compliance, and will focus on private companies from early start-up through those contemplating public offerings.

Note that this session will discuss issues specific to corporations and isn't intended to address issues unique to other types of entities like LLCs.

Among the topics to be discussed:

• How various equity compensation instruments work (i.e., restricted stock v. stock options)
• Tax and accounting issues, including Section 83(b) elections and Section 409A
  
• State and federal securities law compliance: Blue sky laws, Rule 701 and non-U.S. options
• Practical tips for administering equity programs

These seminars are part of a series of programs designed to help our clients address and manage some of the fundamental legal issues facing them today. Throughout the year, Wilson Sonsini Goodrich & Rosati will host multiple programs on practical legal topics pertinent to our venture-backed and small to mid-size public clients. Each session will include effective information and guidance on fundamental legal practices in such fields as Employee Equity, IP Protection & Commercialization and Employment Law.
