The latest CFIUS rules will become effective on Feb. 13, 2020, and they will further expand the set of transactions subject to CFIUS review. CFIUS' expanded jurisdiction focuses on "TID businesses," meaning businesses involved with:
- Critical Technology
- Critical Infrastructure
- Sensitive Personal Data
Filings for some investments will be mandatory; for other investments filings may be advisable but not mandatory; and for many transactions CFIUS risk allocation language should be included even if filings are not warranted. In addition, CFIUS has implemented some process changes to make filings easier and faster for many foreign investors.
The new rules may have far-reaching implications for businesses in a wide array of sectors ranging from biotechnology to autonomous navigation to cybersecurity services to consumer-facing apps, and for investors of almost all foreign nationalities that invest in those businesses—including investments made via many U.S. private equity and venture funds.
Join Wilson Sonsini Goodrich & Rosati for two upcoming events to gain insights and have your questions answered on the new CFIUS rules:
- On February 11, the Wilson Sonsini CFIUS team will host the "CFIUS Lounge"—a phone-based office hour—to answer questions clients and others may have about basic aspects of the proposed rules.
- On March 5, the team will provide an in-person briefing in Palo Alto that will be simulcast as a webinar and broadcasted to the national offices.
