Dell and EMC Announce Historic Deal
On October 12, 2015, Dell Inc. and EMC Corporation announced that the companies have entered into a definitive agreement under which Dell, together with its owners, Michael S. Dell, founder, chairman, and chief executive officer of Dell, MSD Partners, and Silver Lake, the global leader in technology investing, will acquire EMC, while maintaining VMware as a publicly traded company.
According to multiple news reports, the transaction is valued at approximately $67 billion in cash and stock, making it the largest technology-industry deal in history. Wilson Sonsini Goodrich & Rosati is representing Dell in matters related to the transaction before the European Commission's Directorate-General for Competition.
