OmniVision Technologies to Be Acquired for $1.9 Billion

On April 30, 2015, OmniVision Technologies, a leading developer of advanced digital imaging solutions, announced that it has entered into a definitive agreement to be acquired by a consortium of China-based investors consisting of Hua Capital Management Co., CITIC Capital Holdings Limited, and GoldStone Investment Co., for approximately $1.9 billion. Under the terms of the agreement, OmniVision stockholders will receive $29.75 per share in cash. Wilson Sonsini Goodrich & Rosati is acting as legal counsel to OmniVision in the transaction.

The transaction, which is expected to close in the third or fourth quarter of fiscal year 2016, is subject to approval by OmniVision stockholders, regulatory approvals, and other customary closing conditions.
