Blue Coat Systems to Be Acquired by Bain Capital for Approximately $2.4 Billion

On March 10, 2015, Blue Coat Systems, a market leader in enterprise security solutions, announced that it has entered into a definitive agreement to be acquired by funds advised by private investment firm Bain Capital. The company is being acquired from Thoma Bravo in an all-cash transaction valued at approximately $2.4 billion. Wilson Sonsini Goodrich & Rosati is acting as legal advisor to Blue Coat in the transaction.

During the past three years, Blue Coat has experienced strong market share and revenue growth in its major product lines and currently counts 80 percent of the Fortune 500 as customers. The company has also made several successful strategic acquisitions, extending its solutions to the advanced threat defense, security analytics, and encrypted traffic management spaces. Blue Coat offers an integrated portfolio of products that lead the industry in effectiveness in stopping today's threats, and those products have become the de facto standard for many of the Fortune Global 2000.

The transaction is subject to customary closing conditions, including requisite regulatory approvals, and is expected to close during the first half of 2015.
