Ethan Jin is a partner in the Beijing office of Wilson Sonsini Goodrich & Rosati. Ethan's practice focuses on securities and corporate transactions in the Greater China region, including Hong Kong IPOs, pre-IPO private equity investments, investments in HKEx-listed companies, private placements, mergers and acquisitions, public takeovers, compliance, and corporate governance of HKEx-listed companies. He has advised clients in a wide array of industries, including securities, banking, real estate, commercial aviation, energy and natural resources, retail, and shipping.

Ethan has led the execution of dozens of Hong Kong IPOs, representing both issuers and underwriters. He also has experience advising on foreign direct investments in China.

Ethan is a native Mandarin speaker and is fluent in English.

  • Represented China Pacific Insurance (Group) Co., Ltd in its $1.34 billion placing of H shares
  • Represented Haitong Securities Co., Ltd. in its $1.67 billion Hong Kong IPO and global offering
  • Advised Haitong International Securities Group Limited in its capitalization issue to and an offer for sale by its controlling shareholder
  • Represented Chow Tai Fook in a $170 million pre-IPO investment in China Huishan Dairy by way of subscription of exchangeable bonds
  • Advised Morgan Stanley in the $129 million Hong Kong IPO and global offering of Hilong Holding Limited
  • Advised J.P. Morgan in the $822 million Hong Kong IPO and global offering of China Hongqiao Group Limited
  • Advised Sateri Holdings Limited in its $430 million Hong Kong IPO and global offering arranged by Credit Suisse and Morgan Stanley
  • Advised China Hengtian Group in its takeover of Fong's Industries Company Limited, a HKEx-listed company
  • Represented Iron Mining International Limited in a secured convertible loan of $700 million granted by China Investment Corporation
  • Represented Air China Limited in its acquisition of a 12.5 percent interest in Cathay Pacific from CITIC Pacific with a value of $817 million
  • Represented BOCI and UBS in the $1.47 billion Hong Kong IPO and global offering of Sinotrans Shipping Limited
  • Advised Vaillant GmbH in its strategic equity investment in Chigo Holding Limited
  • Represented Air China Limited in its strategic acquisition of a 17.5 percent interest in Cathay Pacific, disposal of its interests in Dragonair, and a strategic investment by Cathay Pacific in Air China with aggregate values of $2.4 billion
