Technology Transactions


James Gannon is a senior associate in WSGR's technology transactions practice. James' practice focuses on technology law issues that include drafting and negotiating agreements for intellectual property and technology licensing, software development and support, technology transfer, hardware procurement, media sponsorship and broadcasting, and outsourcing. He also has experience advising clients on privacy and e-commerce matters, as well as litigating patent and copyright disputes.

James works closely with the firm's corporate attorneys on mergers, acquisitions, spin-outs, and venture capital investments to serve as lead counsel in addressing the technology and intellectual property rights involved. His clients range from privately funded start-ups to publicly traded multinational organizations.

Prior to joining the firm, James was an associate in the intellectual property and information technology group at Freshfields Bruckhaus Deringer US LLP in New York, where he provided strategic support in connection with some of the largest worldwide technology licensing, outsourcing, and M&A transactions. He began his legal career at McCarthy Tétrault LLP in Toronto, Canada, in the firm's technology law group.

  • Software license and SaaS subscription arrangements, including source code escrow facilities, enterprise terms and conditions, vendor contracts, and service level agreements
  • E-commerce platforms, including negotiating agreements between platform providers, e-retailers, and related service providers (such as payment processors) and the social network integration of e-commerce functionality
  • Distribution, reseller, value-added reseller, and other sales channel agreements, including white-label reseller agreements, sales rep agreements, and OEM reseller agreements
  • Sponsorship and broadcasting agreements for sports, media, and entertainment
  • Video game publishing agreements, and endorsement and sponsored content licenses
  • API program design and developer licensing, including the drafting of API license agreements and SDK access agreements
  • Joint development and master services arrangements for the development of technology, including R&D relationships, strategic teaming projects, and software application development
  • Patent monetization deals, including patent licensing and patent acquisitions
  • Open source software, including open source software scans, risk assessment, and internal open source software policies for developers
  • Manufacturing and supply arrangements
  • Public and private M&A transactions, subsidiary and business line spin-outs, and asset sales
  • Consumer agreements, such as website and mobile app terms of service, privacy policies, terms of sale, and other end user policies
