| EXPERIENCE: Francisco (Cisco) Palao-Ricketts is an associate in the Palo Alto office of Wilson Sonsini Goodrich & Rosati, where he specializes in employee benefits and compensation. Cisco's practice includes advising clients with respect to executive compensation and equity compensation arrangements, including incentive and non-qualified stock options, restricted stock, stock appreciation rights, and employee stock purchase plans (ESPPs). He counsels clients on the reporting and withholding obligations of compensation arrangements, and on the design and taxation of non-qualified deferred compensation arrangements. Cisco consults in the design and administration of qualified retirement plans, including profit sharing, stock bonus, 401(k), and 403(b) plans. He assists clients with annual 5500 filings and plan limit testing, and advises clients with respect to a wide range of compliance issues.
