| | | EXPERIENCE: Michelle W. Edwards is a partner at Wilson Sonsini Goodrich & Rosati, where she practices corporate and securities law, and is a member of the firm's China practice. Michelle's practice focuses on the representation of China-based clients, both public and private, as well as multinational corporations engaging in cross-border transactions. Michelle's China-based clients include Ambow Education Holding Ltd., Coordinate Technologies Communication Ltd., Spreadtrum Communications, Inc., and Semiconductor Manufacturing International Corporation. In addition to advising China-based clients on compliance with U.S. laws, Michelle represents clients in capital markets transactions as well as complex cross-border transactions. Michelle also represents corporations establishing operations in China, including the formation of Chinese subsidiaries and joint ventures. Among other transactions, Michelle represented 3Com Corporation in its joint venture with Huawei Technologies Co., Ltd., Spreadtrum Communications in its initial public offering and listing on the Nasdaq Global Market, and SMIC in its acquisition of Motorola's manufacturing operations in Tientsin and in Datang Telecom Technology's minority investment.
